1Agreement to Terms
By accessing our website at ailabs.agency and using our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.
2Use Licence
Permission is granted to temporarily download one copy of the materials on AI Labs Agency's website for personal, non-commercial transitory viewing only. This is the grant of a licence, not a transfer of title. Under this licence, you may not modify or copy the materials, use the materials for any commercial purpose, attempt to decompile or reverse engineer any software contained on the website, remove any copyright or other proprietary notations from the materials, or transfer the materials to another person or "mirror" the materials on any other server.
3Services
AI Labs Agency provides AI-powered video production services including but not limited to training videos, explainer videos, marketing and advertising content, corporate communications, multilingual video production, and related consulting services. All services are subject to a separate written agreement or statement of work that outlines the scope, deliverables, timeline, and fees for each engagement.
4Intellectual Property
Upon full payment of all fees, AI Labs Agency assigns to the client all rights, title, and interest in the final deliverables created specifically for the client under a written agreement. AI Labs Agency retains ownership of all pre-existing materials, tools, templates, methodologies, and general know-how used in the provision of services. The client warrants that they have the right to use any materials they provide to us and indemnifies us against any third-party claims arising from such materials.
5Payment Terms
Fees for services are outlined in the applicable statement of work or quote. Unless otherwise agreed in writing, payment terms are 50% deposit upon engagement and 50% upon final delivery. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less. All quoted fees are in Australian Dollars (AUD) unless otherwise specified and exclude GST.
6Limitation of Liability
In no event shall AI Labs Agency or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on AI Labs Agency's website or services, even if AI Labs Agency or an authorised representative has been notified orally or in writing of the possibility of such damage. Our total liability under any engagement shall not exceed the total amount paid by the client for that specific engagement.
7Confidentiality
Each party agrees to keep confidential all proprietary information disclosed by the other party in connection with the services. This obligation shall survive termination of the engagement for a period of three years, except for trade secrets which shall remain confidential indefinitely. Confidential information does not include information that is or becomes publicly available, was already known to the receiving party, or is required to be disclosed by law.
8Governing Law
These terms and conditions are governed by and construed in accordance with the laws of Victoria, Australia, and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
9Changes to Terms
AI Labs Agency may revise these Terms of Service for its website at any time without notice. By using this website, you are agreeing to be bound by the then current version of these Terms of Service.
